George A. Furst graduated from the University of California at Los Angeles in 1967 with a Bachelor of Arts degree in Political Science (Dean’s List, Magna Cum Laude, Phi Beta Kappa) and from Yale University in 1969 with a Master of Arts degree in International Relations (focusing on international economics).  He received his law degree in 1972 from Harvard Law School (Cum Laude).

Mr. Furst specializes in real estate law, primarily in the areas of real estate acquisitions and dispositions, secured lending and finance, joint ventures, entity structure and formation, leasing, and development and construction for office, retail, industrial and multi-family residential properties.  He has also counseled numerous clients in real estate and other business disputes prior to and in connection with anticipated litigation.  His clients have included institutional and private buyers and sellers, developers, tenants and landlords, borrowers and lenders, and managers and investors in a wide variety of real estate transactions.

For 26 years prior to joining Kulik Gottesman & Siegel, Mr. Furst was a partner and subsequently real estate counsel in the Los Angeles Office of Hughes Hubbard & Reed LLP.  Previously he was a partner at Rifkind, Sterling & Levin, Incorporated in Beverly Hills.  Mr. Furst is rated “AV” by Martindale-Hubbell which is the highest proficiency rating afforded by that advisory service. He is an active member of the bar associations of the State of California and Los Angeles County.

Thomas M. Ware II

Thomas Ware received his Bachelor of Arts degree with High Distinction from the University of Nevada at Las Vegas in 1986. He graduated from Loyola Law School (Cum Laude) in 1989 and is a member of Order of the Coif. Mr. Ware was admitted to practice law in California in 1989 and in Nevada in 1991. He is admitted to practice before the Ninth Circuit Court of Appeals and the United States District Court for the Central, Eastern and Southern Districts of California. Mr. Ware remains an active member of the Nevada Bar.

Since 1989, Mr. Ware’s practice has focused on the representation of homeowner associations, including condominiums, stock cooperatives, planned unit developments, and other community associations, and their volunteer directors and officers.

Mr. Ware’s representation in the field of common interest developments has been varied. In litigation matters, he has represented associations and/or their directors and officers in numerous construction defect cases, developer disputes, CC&R enforcement matters, land use disputes, title issues, controversies involving architectural modifications and other use restrictions, disputes involving alleged breaches of fiduciary duty, assessment collection, lender and contractor disputes, corporate matters, and insurance related matters. He also has represented associations in connection with general corporate issues, questions concerning CC&R and By-law provisions, preparation of amendments to governing documents, insurance matters, fidelity bond claims, and general issues relating to associations’ and directors’ fiduciary obligations.

Mr. Ware was one of the attorneys of record for the prevailing parties in the landmark California Supreme Court case Nahrstedt v. Lakeside Village Condominium Association, 8 Cal.4th 361 (1994). This case established the legal framework and standards for enforcing CC&R provisions. Mr. Ware was also appellate counsel in Martin v. Bridgeport Community Assn., 173 Cal.App.4th 1024 (2009), which holds that CC&Rs can be enforced against tenants but tenants lack standing to enforce the CC&Rs against the Homeowners Association.

Mr. Ware was selected for inclusion in Super Lawyers 2009®, Super Lawyers 2010®, and Super Lawyers 2011® published in Los Angeles Magazine. Mr. Ware has an “AV” ( "Pre-Eminent") rating by Martindale-Hubbell.®

Joseph R. Serpico

Joseph Serpico received his Bachelor of Arts degree in political science (Cum Laude) from California State University, Northridge in 1973. He received his Juris Doctor degree from Southwestern University School of Law in 1976. He has practiced law in Los Angeles since 1977. Mr. Serpico is admitted to practice in the United States District Court for the Central District of California and is a member of the American Bar Association, the Los Angeles County Bar Association, and the Community Associations Institute.

Mr. Serpico specializes in civil litigation, including real property, products liability, construction defects, and the representation of community associations, both as general counsel and as litigation counsel. He was counsel for the prevailing defendant in Blackwell v. Phelps Dodge Corp. 157 Cal.App.3d, 372 (1984), a published decision in the area of products liability failure to warn. Mr. Serpico has obtained many substantial recoveries for condominium homeowner associations in multi-party construction defect litigation.

Robyn L. Roth graduated from UCLA with a Bachelor of Arts degree in Communications Studies (Summa Cum Laude, Phi Beta Kappa, Dean's List) and earned her JD from Harvard Law School.

Ms. Roth heads Kulik Gottesman & Siegel’s corporate and entertainment department, representing entertainment industry and other clients in a diverse array of transactional legal matters, including entertainment and other corporate matters, motion picture production, distribution and finance, and commercial and residential real estate. She represents individuals and companies, often acting as outside general counsel for her company clients.

Ms. Roth’s entertainment transactional practice includes various aspects of entertainment production, distribution and finance, including bank and non-traditional financings for domestic and international productions, including so-called “soft money” financing, advising on Guild issues, structuring backend, deferral and other contingent compensation arrangements, and acquisition of intellectual property and licensing. Her corporate practice includes structuring and advising corporations, limited liability companies and partnerships, developing equity and debt structures, and structuring rights, distribution, marketing and promotion, and endorsement agreements for emerging and existing brands. Ms. Roth’s real estate practice includes all aspects of commercial and residential real estate transactions, including purchase, sale, construction, loans and loan workouts, leasing, surveys, easements and title, with a unique specialty of representing individual celebrity talent, entertainment industry and other individuals in their residential real estate matters.

As a partner for more than 13 years in the corporate department of Bloom Hergott Diemer Rosenthal LaViolette Feldman Schenkman & Goodman, LLP, Ms. Roth represented A-list entertainment industry clientele on their full range of entertainment finance, corporate and real estate legal needs. Ms. Roth was also Senior Vice President of Business and Legal Affairs at the Yari Film Group, and Executive Vice President of Business and Legal Affairs of Sidney Kimmel Entertainment. Before joining KGMS, Ms. Roth ran her own successful solo law practice, providing transactional entertainment, corporate and real estate legal services to entertainment industry and other individuals and small business clients. Ms. Roth began her career as an associate in the real estate department of the San Francisco office of the law firm Morrison & Foerster, LLP, where she represented Japanese investors, national and international banks and pension funds in multi-million dollar, high-profile real estate transactions, including office buildings, shopping centers, golf courses, wineries and hotels.

Ms Roth is a frequent speaker on corporate entertainment topics and independent film production and finance, including at UCLA’s Anderson School of Business, University of Southern California’s Annual Institute on Entertainment Law and Business, and the Worklaw Annual National Conference and Seminar. She has also been quoted and interviewed extensively on real estate and remodeling in print, on the radio and on-line, including in New York Times, Oprah.com and Wisconsin Public Radio. Ms. Roth is the co-author of REMODEL THIS! A Women’s Guide to Planning and Surviving the Madness of a Home Renovation (Penguin/Perigee 2007).

Ms. Roth is a member of the California State Bar. As a member of the Los Angeles County Bar Association, she has served as an officer of its Intellectual Property and Entertainment Law Section and the co-chair of its Annual Symposium: “Feature Films: from Acquisition to Distribution.” She is also a member of the Beverly Hills Bar Association, Entertainment Law Section and Real Estate Law Sections.

Ms. Roth is an alumna of the Anti-Defamation League’s prestigious Salvin Leadership Program, and remains active in the ADL, serving on its Legal Affairs Committee. She also serves as Chair of the Board of Directors of the Friends of Levitt Pavilion –  MacArthur Park.

Mitchell S. Brachman

Mitchell Brachman received his Bachelor of Arts degree in Political Science from the University of Michigan in 1983. He received his Juris Doctor from Washington College of Law, The American University in 1986. Mr. Brachman was admitted to practice law in the State of California in 1987 and in the District of Columbia in 1990. He is also admitted to practice in the United States District Court for the Central and Northern Districts of California.

Mr. Brachman specializes in civil litigation, including real property, construction defects, mortgage broker errors and omissions. His real estate practice is particularly focused on the representation of homeowners associations and their volunteer directors and officers. This representation includes representation of community associations as general counsel and in litigation matters ranging from questions involving interpretation of Association CC&Rs and Bylaws, lender and contractor disputes and directors’ fiduciary obligations.

She proceeded to obtain her Juris Doctor degree from Loyola Law School in 2000. While at Loyola Law School, Ms. Dioguardi served as an Editor of the Loyola of Los Angeles Entertainment Law Review.

Ms. Dioguardi specializes in civil and business litigation. She has been involved in defending and obtaining recoveries on behalf of clients in a wide array of disputes involving common interest developments.

David A. Bernardoni

David Bernardoni practices in the area of business litigation. Mr. Bernardoni represents clients in state and federal court. He has represented a diverse range of clients, including large and small businesses in the communications, construction, insurance, real estate and retail industries.

Mr. Bernardoni’s current case load includes the defense of homeowner associations and their volunteer board of directors. Examples of recent successes in the defense of homeowner associations include:

  • Obtained the dismissal a homeowner association and its individual directors (by way of demurrer) in an action brought for personal injuries;
  • Prevailed on multiple anti-SLAPP motions against homeowner associations and their board of directors with award of attorneys fees and costs as prevailing parties;
  • Prevailed on a pre-trial motion for judgment on the pleadings against a cross-complaint relating to a homeowner association’s enforcement of its architectural standards;
  • Prevailed on motion for terminating sanctions against a plaintiff for violations of the Discovery Act after obtaining a dismissal from the other plaintiff in exchange for waiver of costs and fees;
  • Obtained the voluntary dismissal of a homeowner association president after filing a motion for summary judgment. Obtained a money judgment in favor of said defendant in excess of $70,000;
  • Obtained dismissal of a multiple defendant board members in multiple actions in exchange for waiver of costs and fees.
Mr. Bernardoni is a 2003 graduate of the University of San Diego School of Law, where he served as a Lead Articles Editor for the San Diego Law Review. Prior to attending law school, Mr. Bernardoni was a training manager for Sprint PCS, where he trained over 1,000 employees in conjunction with the launch of the Sprint PCS network in cities throughout the county. Prior to joining Kulik Gottesman & Siegel in 2006, Mr. Bernardoni was associated with the law firm Ropers, Majeski Kohn & Bentley, where he defended over 80 first-party contract and bad faith cases arising out of the adjustment of claims from the 1994 Northridge earthquake.

In 2008, Mr. Bernardoni was elected to the Lake Balboa Neighborhood Council, for which he currently serves as its President.

Stephen N.
